According to Elon Musk, Martin Eberhard was fired from Tesla in 2007 for committing corporate fraud. He allegedly provided fake information to Musk and Tesla’s board. Details about his firing is what Elon Musk is using to support his claim that he isn’t stealing Tesla.

Strangely Wikipedia says Tesla was founded in 2003 by Martin Eberhard and Marc Tarpenning. It goes on to say Elon Musk didn’t join Tesla until 2009, and only was recognized as a founder after the infamous lawsuit in 2009.
